Terms of Service

1. Parties and Acceptance

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "you", "your") and Bunny Honey Club SRL, a company registered in Romania, operating the Tradokiplatform ("Service", "Platform", "we", "us", "our").

By creating an account, accessing, or using the Service in any way, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, you must not use the Service.

We reserve the right to modify these Terms at any time. We will notify registered users of material changes via email at least 14 days before they take effect. Your continued use of the Service after the effective date constitutes acceptance.

2. Service Description — Strictly Educational

Tradoki is an educational software platform designed to help users learn about technical analysis concepts, trading psychology, and risk management principles through AI-powered tools, interactive learning modules, and structured journaling.

2.1 What Tradoki IS

• •An educational tool for learning technical analysis concepts
• •A structured journaling system for self-reflection on past decisions
• •An AI-powered learning companion that uses the Socratic method
• •A library of 101+ interactive educational modules with quizzes
• •A strategy backtesting tool for educational experimentation with historical data

2.2 What Tradoki is NOT — Critical Disclaimer

2.3 Risk Acknowledgment

By using the Service, you expressly acknowledge and agree that:

• (a)Trading and investing in financial instruments involves substantial risk of loss, including the possibility of losing your entire investment.
• (b)Past performance does not guarantee, indicate, or predict future results.
• (c)Any decisions you make regarding buying, selling, or holding financial instruments are entirely your own responsibility.
• (d)You should consult with a qualified, licensed financial advisor before making any investment decisions.
• (e)We do not have knowledge of your personal financial situation, risk tolerance, or investment objectives.

3. AI Transparency Notice (EU AI Act Compliance)

In compliance with the European Union Artificial Intelligence Act (Regulation (EU) 2024/1689):

3.1 AI Systems Used

The Service uses third-party large language models, primarily Anthropic Claude (models: Claude Sonnet 4.6 and Claude Haiku 4.5), to generate educational content including chart observations, conversational responses, journal feedback, quiz answer explanations, and news summaries.

3.2 Limitations of AI-Generated Content

• •All AI outputs are probabilistic and may contain errors, inaccuracies, hallucinations, or contradictions
• •AI-generated chart observations are pattern descriptions only — not predictions, not signals
• •AI models can produce different outputs for identical inputs
• •The AI cannot assess your individual financial situation or risk tolerance

3.3 User Obligations Regarding AI Content

• •You must independently verify all AI-generated observations before relying on them
• •You must exercise your own judgment and not treat AI outputs as authoritative
• •You must not redistribute AI outputs as investment recommendations or financial advice

3.4 Prompt Injection and Misuse

Any attempt to manipulate, circumvent, or override AI boundaries through prompt injection, adversarial inputs, or social engineering constitutes a violation of these Terms and may result in immediate account termination without refund.

4. Eligibility and Account Responsibilities

• •Age: You must be at least 18 years of age to use the Service.
• •Security: You are solely responsible for maintaining the confidentiality of your account credentials. Notify us immediately at support@tradoki.com of any unauthorized use.
• •Accuracy: You agree to provide accurate, current, and complete information during registration.
• •One Account: Each individual may maintain only one account. Creating multiple accounts to circumvent usage limits or abuse systems constitutes a violation.

5. Subscriptions, Payments, and Billing

6.1 EU Consumer Withdrawal Right (14-Day Cooling-Off Period)

In accordance with EU Directive 2011/83/EU, you have the right to withdraw from your subscription within 14 calendar days of your initial purchase without giving any reason. To exercise this right, contact us at support@tradoki.com.

6.2 Acknowledgment of Service Commencement

By using any paid features during the 14-day Cooling-Off Period, you acknowledge that the Service has commenced delivery and you consent to the immediate performance of the contract. In this case, the refund amount may be reduced proportionally.

6.3 After the Cooling-Off Period

After the 14-day Cooling-Off Period, refunds are not available. This includes dissatisfaction with AI content quality, failure to use the Service, change of mind, or trading losses incurred.

6.4 Exceptions

We may, at our sole discretion, issue refunds for: verified technical failures that completely prevented access, duplicate charges, or account termination by us for reasons other than Terms violations.

6.5 Chargebacks

7. Intellectual Property

7.1 Our Property: The Service, including its source code, design, educational content, learning modules, quiz questions, branding, and documentation, is the intellectual property of Bunny Honey Club SRL and is protected by copyright, trademark, and other IP laws.

7.2 User Content: Charts, images, journal entries, and other content you upload or create remain your property. By uploading content, you grant us a limited, non-exclusive license to process it as necessary to provide the Service.

7.3 AI-Generated Content: AI-generated analyses are provided for your personal educational use only. You may not redistribute, publish, or sell AI-generated content as investment advice, represent it as your own professional analysis, or systematically extract/scrape it.

8. Gamification, Points, and Rewards

Points, levels, badges, titles, and rewards have no monetary value, cannot be exchanged for cash, and do not constitute any form of currency, security, or financial instrument. We reserve the right to modify, rebalance, or reset the Gamification Features at any time.

9. Referral Program

Users may invite others through unique referral links. Prohibited activities include: self-referrals, spam or unsolicited distribution, misrepresentation of the Service, and automated or bot-driven referral activity. Violations may result in forfeiture of points and account suspension.

10. Prohibited Uses

You agree NOT to:

• ✕Use the Service to provide financial advice to others
• ✕Redistribute AI analyses as investment recommendations
• ✕Circumvent rate limits, usage restrictions, or tier limitations
• ✕Attempt prompt injection or adversarial manipulation of AI systems
• ✕Upload illegal, harmful, misleading, defamatory, or offensive content
• ✕Reverse-engineer, decompile, or disassemble any part of the Service
• ✕Scrape, crawl, or systematically extract data from the Service
• ✕Use the Service to develop a competing product or service
• ✕Interfere with the security, integrity, or performance of the Service
• ✕Impersonate any person or entity

12. Limitation of Liability

WE SHALL NOT BE LIABLE FOR ANY:

• ✕Loss of profits, revenue, data, business opportunities, or goodwill
• ✕Trading losses, investment losses, or financial losses of any kind
• ✕Damages arising from your reliance on AI-generated content
• ✕Service interruptions, errors, or inaccuracies
• ✕Third-party actions, including payment processors or AI service providers

12.3 Specific Disclaimers

• •No performance guarantees: We make no guarantee that using the Service will improve your trading results
• •AI accuracy: We do not warrant the accuracy or reliability of any AI-generated content
• •Strategy backtester: Backtesting results are based on historical data and do not predict future performance
• •Market data: Market data is sourced from third-party APIs and may be delayed, incomplete, or inaccurate

12.4 Indemnification

You agree to indemnify, defend, and hold harmless Bunny Honey Club SRL from any claims, damages, losses, liabilities, costs, and expenses arising from: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third party's rights; (d) any trading or investment decisions you make; (e) any claims arising from your redistribution of AI-generated content to third parties.

13. Service Availability and Modifications

• •No Uptime Guarantee: The Service is provided on an "as is" and "as available" basis.
• •Right to Modify: We may modify, suspend, or discontinue any feature at any time.
• •Force Majeure: We are not liable for delays due to circumstances beyond our reasonable control.

14. Creators Program

Users may apply to the Tradoki Creators Program. Acceptance is at our sole discretion and does not create an employment relationship. If accepted, content you create for the Platform is subject to a separate Creator Agreement.

15. Termination

By You: You may terminate your account at any time by contacting support@tradoki.com. Your data will be retained for 30 days for export, then permanently deleted.

By Us: We may suspend or terminate your account immediately for: violation of these Terms, fraudulent activity, attempted manipulation of AI systems, providing financial advice using our Service, or any harmful activity.

Upon termination for Terms violation, no refund will be issued. Upon termination by us for other reasons, we will issue a prorated refund for any remaining prepaid subscription period.

16. Dispute Resolution

• •Informal Resolution: Before initiating formal proceedings, contact us at support@tradoki.com to attempt resolution within 30 days.
• •Governing Law: These Terms are governed by the laws of Romania and applicable EU regulations.
• •Jurisdiction: Disputes shall be submitted to the competent courts of Bucharest, Romania, without prejudice to mandatory consumer protection provisions of your country of residence.
• •EU ODR: EU consumers may submit complaints through the European Commission's Online Dispute Resolution platform.

17. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

18. Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and Bunny Honey Club SRL regarding the Service and supersede all prior agreements, understandings, and representations.
